The dispute

Yukos Universal was one of three companies that held the majority of the shares in Yukos, once Russia's largest oil company. From 2003 Russian authorities brought massive tax reassessments against Yukos, arrested its principal executives (Mikhail Khodorkovsky and Platon Lebedev), sold its main production subsidiary Yuganskneftegaz (YNG) at auction in December 2004, and then drove the company into bankruptcy and liquidation. In February 2005 the shareholders started arbitration under the Energy Charter Treaty, claiming that Russia had expropriated their investment. Russia argued that the Tribunal had no jurisdiction, because Russia had signed but never ratified the Treaty, and that the measures were legitimate tax enforcement.

Key holdings

  1. Russia was bound by the Treaty's arbitration clause through provisional application (Article 45 ECT). The Interim Award dismissed Russia's objections based on Articles 1(6), 1(7), 17, 26(3)(b)(i) and 45, and left the tax carve-out objection (Article 21) and the "unclean hands" objection for the merits. Interim Award, dispositif
  2. The "primary objective" of the Russian Federation was not to collect taxes but to bankrupt Yukos and take over its valuable assets. Final Award ¶ 756
  3. The tax carve-out in Article 21(1) ECT covers only genuine (bona fide) taxation measures, not measures taken under the guise of taxation for another purpose, such as destroying a company or removing a political opponent. In any case, the expropriation claw-back in Article 21(5) gave the Tribunal jurisdiction, and referral to the tax authorities would have been futile. Final Award ¶¶ 1407, 1409, 1430
  4. The acts of Russia's executive, judicial and administrative organs against Yukos were attributable to the State. Russia, speaking through its President, accepted responsibility for Rosneft's acquisition of YNG. Final Award ¶ 1480
  5. The investment was expropriated, contrary to Article 13(1) ECT. The point of substantial and irreversible deprivation was 19 December 2004, the date of the YNG auction. The claimants could choose the higher of the two valuations: USD 66.694 billion at the date of the Award, against USD 21.988 billion at 19 December 2004. Final Award ¶¶ 1762, 1826
  6. Damages were cut by 25 percent for contributory fault. The Tribunal found that Yukos had abused low-tax regions and made questionable use of the Cyprus–Russia double tax treaty. This brought the total for the three shareholders to USD 50,020,867,798. Final Award ¶¶ 1637, 1827
